Terms and Conditions
Last updated: July 31, 2026
These Terms and Conditions (“Terms”) govern business-to-business inquiries, quotations, and the supply of custom OEM/ODM pickleball paddles, accessories, and related services by Joying Pickleball (“we,” “us,” or “our”) to business customers (“you,” “Customer”). By requesting a quote or placing an order, you agree to these Terms.
1. Scope
These Terms apply to all quotations, samples, and production orders for custom, private-label, and stock paddle and accessory products. They form the basis of our commercial relationship unless a separately signed contract states otherwise.
2. Quotations & Acceptance
- Quotations are valid for 30 days unless stated otherwise.
- Acceptance occurs when you issue a purchase order or written confirmation, and we acknowledge it.
- Final product specifications are locked at sample approval; changes after approval may affect price and lead time.
3. Minimum Order Quantity & Pricing
- MOQ: 100 pcs for fully custom paddles; 50 pcs for stock models with logo printing; samples 1–5 pcs.
- Prices are quoted EXW/FOB/CIF as specified and exclude international freight, insurance, import duties, and taxes unless explicitly included.
- Pricing is based on the material, process, volume, and customization scope confirmed at quotation.
4. Payment Terms
- Mass production: 50% deposit to commence production, 50% balance before shipment.
- Sample orders: 100% prepaid.
- Accepted methods: T/T bank transfer and PayPal. Alternative terms may be agreed for established accounts.
5. Samples
Pre-production samples are built to your confirmed spec for approval. You are responsible for your own on-site testing and for confirming the sample meets your requirements before mass production begins.
6. Production & Lead Time
- Sample lead time: 5–7 days from spec confirmation.
- Mass production: 20–30 days from deposit, depending on volume and complexity.
- Lead times are estimates; delays due to force majeure, material shortages, or late client inputs are excluded.
7. Intellectual Property & Trademarks
- You retain all rights to your brand name, trademarks, logos, and artwork that you provide.
- We retain all manufacturing know-how, tooling (unless a custom-mold ownership fee is agreed), and process IP.
- You warrant that any designs, logos, or artwork you supply do not infringe third-party rights.
8. Confidentiality
Both parties agree to protect confidential business information (specs, pricing, tooling, customer lists) disclosed during the project and not to use it for unrelated purposes.
9. Shipping, Risk & Import
- Delivery terms follow the Incoterms stated in the order (typically EXW, FOB, or CIF).
- Risk passes according to the agreed Incoterm. You are responsible for import clearance, duties, and local compliance in your destination country.
10. Quality & Defects
- We perform inline and pre-shipment AQL inspection and provide an inspection report.
- Defect claims must be raised within 15 days of receipt with documented evidence (photos/batch info).
- Remedy (repair, replacement, or refund) is at our discretion and limited to the affected quantity.
11. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages. Our aggregate liability for any order is limited to the amount paid for that order.
12. Compliance
Products are manufactured to USA Pickleball equipment specifications where requested. You are responsible for your own brand’s certification, labeling, and import compliance in your market. Nothing herein constitutes a warranty of third-party certification.
13. Governing Law & Disputes
These Terms are governed by the laws of the People’s Republic of China. Disputes should be resolved through good-faith negotiation, and where unresolved, through arbitration under mutually agreed rules.
14. Amendments
We may update these Terms; the version on this page at the time of order governs that order unless a signed agreement states otherwise.
